Key Highlights of the Law on Investment 2025
(Law No. 143/2025/QH15)

On 11 December 2025, during its 10th sitting, the 15th National Assembly of Vietnam adopted the Law on Investment 2025 (“LOI 2025”). The new law will officially come into force on 1 March 2026, replacing the Law on Investment 2020.

The LOI 2025 reflects the State’s continued effort to modernise investment governance by streamlining administrative procedures, enhancing decentralisation, and shifting regulatory oversight from pre-approval to post-inspection. These reforms are particularly relevant for foreign direct investment (“FDI”) enterprises, given their impact on market entry, project structuring, and long-term investment planning.

베트남 제15대 국회는 2025년 12월 11일, 제10차 회기에서 2020년 투자법을 전면 개정하는 2025년 투자법(이하 “개정 투자법”)을 결의하였습니다.

동 법은 2026년 3월 1일부터 시행되며, 기존 2020년 투자법을 대체하게 됩니다.

개정 투자법은 행정절차의 간소화, 권한의 분권화 강화, 그리고 ‘사전 승인 중심’ 규제에서 ‘사후 점검 중심’ 관리체계로의 전환을 통해 투자 행정의 현대화를 지속적으로 추진하려는 국가 정책 기조를 반영하고 있습니다. 이러한 개편은 시장 진입, 투자 프로젝트 구조 설계 및 중·장기 투자 전략 전반에 영향을 미친다는 점에서 외국인직접투자(FDI) 기업에게 특히 중요한 의미를 가집니다.
